Acceptance of Terms
By accessing or using this website (getawc.com), including any content, functionality, or services offered on or through the website (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to all of the terms and conditions, you must not access or use the website.
These Terms of Use constitute a legally binding agreement between you ("you" or "Client") and Automated Workflow Consulting ("AWC," "we," "us," or "our").
Description of Services
AWC provides the following services:
- Free Assessment surveys and customized video consultation breakdowns
- Business consulting and operational system design
- Design work and system rebuild services
- Customer portal access (when available)
All consulting engagements are subject to separate written agreements (Statements of Work) that govern the scope, deliverables, and fees for specific projects. In the event of any conflict between these Terms of Use and a signed Statement of Work, the Statement of Work shall prevail.
User Obligations
By using our website and services, you agree that you will:
- Provide accurate, current, and complete information when filling out forms or surveys
- Maintain the confidentiality of any account credentials and notify us immediately of any unauthorized use
- Use the website only for lawful purposes and in compliance with all applicable laws and regulations
- Not engage in scraping, data mining, reverse engineering, or any activity that disrupts or interferes with the website
- Be at least 13 years of age (or 16 in the EEA)
We reserve the right to suspend or terminate access for anyone who violates these obligations.
Intellectual Property
Website Content. All content on this website — including text, graphics, logos, images, videos, software, and design elements — is owned by or licensed to AWC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Consulting Deliverables. Ownership of deliverables created during consulting engagements (reports, assessments, designs, recordings) is governed by the applicable Statement of Work. Unless otherwise specified, AWC retains ownership of its proprietary methodologies, tools, and frameworks used in delivering services.
User-Generated Content. By submitting information, feedback, or other content through our website or services, you grant AWC a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content solely for the purpose of providing and improving our services.
Third-Party Trademarks. All third-party trademarks, service marks, and logos referenced on our website are the property of their respective owners.
Disclaimers
No Guarantees. The consulting services, recommendations, and deliverables provided by AWC are based on information supplied by you and industry practices. AWC does not warrant or guarantee any particular outcome, financial result, or business improvement. You acknowledge that business decisions involve risk and remain solely responsible for all decisions and actions taken in reliance on our services.
No Professional Advice. Services provided by AWC are for general business and educational purposes only and do not constitute legal, accounting, tax, or investment advice. You should consult with licensed professionals regarding specific business, legal, or financial decisions.
"As Is" Warranty Disclaimer. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AWC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AWC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
Client Responsibility. You acknowledge that you are solely responsible for: (a) decisions made based on our recommendations; (b) implementation of suggested improvements; (c) compliance with applicable laws and regulations; and (d) protection of your own data and systems.
Third-Party Limitations. AWC is not responsible for the acts or omissions of any third-party vendors, platforms, or service providers recommended or discussed during consulting engagements. Your use of third-party services is at your own risk and subject to those providers' terms and policies.
Technology Limitations. While AWC uses commercially reasonable efforts to provide accurate assessments, no information system or security program is entirely risk-free. AWC does not warrant that client systems will be secure or free from unauthorized access.
Limitation of Liability
Exclusion of All Liability. To the maximum extent permitted by applicable law, AWC, its officers, directors, employees, agents, and affiliates shall have no liability whatsoever to you or any third party for any claim, loss, damage, cost, or expense of any kind — whether direct, indirect, incidental, special, consequential, punitive, or exemplary — arising from or related to the Services or these Terms, including but not limited to:
- Lost profits, revenue, savings, or business opportunity
- Business interruption or loss of use
- Loss of or damage to data or systems
- Reputational harm or loss of goodwill
- Any decision made or action taken in reliance on the Services
- Errors, omissions, or inaccuracies in any deliverables, assessments, or recommendations
This exclusion applies regardless of the legal theory on which the claim is based — whether in contract, tort (including negligence), gross negligence, strict liability, breach of statutory duty, or otherwise — even if AWC has been advised of the possibility of such damages, and even if a remedy set forth in these Terms is found to have failed of its essential purpose.
Free Services. Free services, including the Free Assessment, are provided for informational and marketing purposes only. They do not constitute professional advice and do not create a consulting relationship. To the maximum extent permitted by law, AWC disclaims all liability in connection with free services. If, despite the foregoing, any liability is nonetheless found to exist, AWC's liability shall be limited to the minimum amount permitted by applicable law.
Non-Excludable Liability. Nothing in these Terms excludes or limits AWC's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited by applicable law.
Termination
AWC reserves the right to suspend or terminate your access to the website or services at any time, with or without cause, and with or without notice. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, governing law, and severability — shall survive any termination.
Upon termination, your right to use the website and services will immediately cease. Any data retention obligations and your rights regarding your personal data shall be governed by our Privacy Policy.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue remedies in the courts of the Province of Alberta, and you hereby consent to the exclusive jurisdiction and venue of such courts.
Modifications to Terms
We reserve the right to modify these Terms of Use at any time. Changes will be posted on this page with an updated "Last updated" date. Material changes will be communicated more prominently (for example, via a notice on our website or by email, where appropriate). Your continued use of the website after the effective date of any changes constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
